1. Key Terms
These terms are used throughout this License Agreement.
- Highfile means Highfile.com and its operators.
- Highfile Content means any files or materials made available on the Site, including free items and premium items.
- Free Content means Highfile Content that is marked as free or available without an active paid membership.
- Premium Content means Highfile Content that is marked as premium or limited to paid members.
- You means the person or business using the Site.
- Account means the login profile used to access downloads, memberships, and related Site functions.
2. License Grant
When you access or download Highfile Content through an authorized method, Highfile grants you a limited, non-exclusive, non-transferable, revocable license to use that Highfile Content under this License Agreement.
This license is for your personal use or your internal business use. It does not give you ownership of the Highfile Content, and it does not allow redistribution of the Highfile Content as templates or source files.
3. Who May Use the Content
Highfile Content is intended for the Account holder and, where applicable, authorized users under the plan you purchased.
You must keep your Account credentials secure. You must not share your login with others unless your plan explicitly allows additional seats under written plan terms shown at checkout or within your Account.
4. Permitted Uses
You may use Highfile Content in practical, real work where the template is part of a larger outcome and the template itself is not being distributed as a template library.
Permitted uses include the following.
- Editing and customization for your own needs, including branding and formatting changes.
- Printing and digital use for your own records, internal operations, and business documentation.
- Client work product where the completed output is delivered to a client as part of your service, such as a filled and finalized document, a completed schedule, or a completed worksheet.
- Internal sharing within your organization when it is only for internal collaboration and access is limited to employees or contractors working under your direction and subject to the limits in this License Agreement.
5. Prohibited Uses
Highfile Content must not be redistributed in a way that substitutes for the original files or competes with the Site.
You must not do any of the following.
- Sell, resell, rent, lease, sublicense, or redistribute Highfile Content as standalone files, templates, or editable source documents.
- Publish or upload Highfile Content to template libraries, marketplaces, public repositories, download sites, forums, or file-sharing services.
- Bundle Highfile Content into a competing product, collection, repository, membership, or “template pack,” even if modified.
- Share direct download links, file URLs, or exported source files with anyone who is not authorized under your plan.
- Remove or bypass access controls or attempt to access Premium Content without an active membership.
- Use automated means to scrape, harvest, bulk-download, or monitor Highfile Content.
- Claim Highfile Content as your own original template library or register it as your trademark or proprietary template set.
- Use Highfile Content to train or build datasets for machine learning or similar systems when the Highfile Content itself is being used as training material in bulk or as a library.
6. Premium Content and Membership Access
Premium Content is available only while you have an active paid membership that includes access to that content. If your membership ends or is cancelled, you must stop accessing Premium Content through the Site until you have an active membership again.
Highfile generally permits continued use of copies of Premium Content that you downloaded while you were authorized, as long as your use stays within this License Agreement and you are not redistributing the templates or source files. Access to updates, newly posted Premium Content, and re-download access may require an active membership.
Any attempt to access Premium Content through direct URLs, bypass methods, or other non-authorized paths is a violation of this License Agreement and may result in suspension or termination.
7. Limited Exceptions
Highfile recognizes a few limited exceptions where sharing can be necessary for real work, and these are interpreted narrowly.
You may share Highfile Content internally with employees or contractors working under your direction only when all of the following are true.
- They need access to perform work for you or your business.
- Access is limited to the people involved in that work.
- They do not reuse, redistribute, post, or repackage the files.
- You remain responsible for compliance with this License Agreement.
You may deliver a completed output to a client, but you must not deliver the original editable template file as a template, and you must not give your client the files in a way that allows them to reuse or redistribute the template as a template product.
8. Ownership and Intellectual Property
Highfile and its licensors retain all rights in the Site and Highfile Content, including copyrights and other intellectual property rights. Your license is limited to what is granted in this License Agreement.
You keep ownership of any original text, data, branding, or business materials you add to the templates. This License Agreement does not grant Highfile ownership of your private content that you add to a template.
9. Third-Party Materials
Some Highfile Content may include elements that are licensed from third parties, such as fonts, icons, or graphics. Those third-party elements may carry separate restrictions. Where a third-party license applies, you are responsible for complying with it.
10. Feedback, Suggestions, and Comments
Highfile welcomes feedback, suggestions, and comments. If you send feedback to Highfile, you give Highfile a worldwide, perpetual, royalty-free license to use, adapt, and incorporate that feedback into the Site, templates, policies, and related materials. This does not require attribution or compensation.
Highfile may moderate, remove, or restrict public comments or submissions that violate Site rules, include unlawful content, or create misuse risk.
11. Enforcement, Suspension, and Termination
Highfile may suspend or terminate access if it reasonably believes there is misuse, fraud, abuse, or a violation of this License Agreement or the Terms of Use.
If your rights under this License Agreement are terminated due to a violation, you must stop using the Highfile Content involved in the violation and delete copies that were used or distributed outside the permitted scope.
12. Disclaimer
Highfile Content is provided “as is” and for general use. Highfile does not provide legal, tax, medical, or financial advice through templates or Site materials. You are responsible for confirming that any document you use fits your situation and local requirements.
