Terms of Use

These Terms of Use are a legal agreement between you and Highfile.com (“Highfile,” “we,” “us,” “our”). They govern your access to and use of highfile.com, any subdomains, and any related pages, accounts, downloads, and membership areas (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Definitions

The terms below are used throughout these Terms.

  • Account means a registered profile used to access Site functions, including downloads and memberships.
  • Content means templates, documents, spreadsheets, slides, calculators, text, images, graphics, and downloadable files made available on the Site.
  • Free Content means Content marked free or available without an active paid Membership.
  • Premium Content means Content marked premium or otherwise restricted to paid members.
  • Membership means a paid subscription plan that grants access to Premium Content and related member access.
  • You means the person or entity using the Site.

2. Eligibility and Authority

You must be at least 18 years old to create an Account and purchase a Membership.

If you use the Site for a business or on behalf of another organization, you confirm you have authority to bind that organization to these Terms, and “you” includes that organization.

3. Accounts and Security

An Account may be required to access downloads, manage Memberships, or use certain Site areas. You are responsible for activity that happens under your Account.

You agree to keep your login credentials confidential and to maintain accurate Account information so access and billing work correctly. If you suspect unauthorized access, notify us promptly at [email protected].

Account sharing is not allowed unless your plan clearly states multi-seat access under written terms shown at checkout or within your plan description.

4. Memberships, Billing, Cancellation, and Refunds

Highfile may offer Free Content and Membership plans that provide access to Premium Content. What you can access depends on your plan and your active status.

Membership billing and renewal

Memberships are billed in advance on a recurring basis as shown at checkout. Unless you cancel, your Membership renews automatically. You authorize us and our payment processors to charge your payment method for renewals.

Cancellation

You can cancel renewal through your Account area or through the cancellation method shown at checkout. Cancellation stops future renewals. Access typically continues until the end of your paid billing period unless your Account is restricted for a violation.

Price changes and taxes

We may change pricing for future billing periods. When notice is required, we will provide it in a reasonable way such as on the Site or by email. You are responsible for taxes that apply unless collected where required.

Refunds and limited exceptions

Refunds are limited due to the nature of digital access. Purchases are generally final once access is granted or downloads occur. For full details on eligibility, exceptions, and how requests are reviewed, please refer to our Refund / Cancellation Policy.

Limited exceptions may apply, such as duplicate charges, verified billing errors, or a technical issue that prevents access that we cannot reasonably resolve. To request review, email [email protected] and include the email used for purchase, the order details, and a short description of the issue.

If Highfile discontinues the Site or a Membership service, we may provide a prorated refund for the unused portion of an active paid period when required by law or when we decide it is appropriate.

5. License to Use Highfile Content

Highfile Content is licensed, not sold. When you download or access Content, Highfile grants you a limited, non-exclusive, non-transferable, revocable license to use the Content under these Terms.

You may edit Content to fit your needs and use it for personal use, business use, and internal operations. You may also use completed documents as part of your work product, including client deliverables, as long as you do not distribute the original template files in a way that substitutes for the template itself.

Restrictions

To protect Highfile’s library and access rules, you must not do any of the following with any Content, including Premium Content.

  • Sell, resell, rent, lease, sublicense, or redistribute Content as a standalone file
  • Publish Content on template libraries, marketplaces, download sites, forums, or file-sharing services
  • Bundle Content into a competing product, membership, repository, or collection
  • Share direct download links or file URLs with anyone who is not authorized
  • Remove notices, access controls, watermarks, or license information where present
  • Use automated methods to scrape, harvest, or mass-download Content
  • Attempt to bypass Membership checks or other access restrictions

6. Premium Content Access and Direct URL Use

Premium Content is restricted by Membership status. If you do not have an active Membership, you are not authorized to access Premium Content, even if you locate a direct file URL.

If you attempt to access Premium Content by direct URL or by bypassing controls, Highfile may block the request, show a Premium access notice, limit your access, or take enforcement actions described in these Terms.

7. Download Limits and Abuse Prevention

Highfile may apply reasonable technical limits to prevent fraud, abuse, and excessive automated downloading. Limits may vary by plan, file type, or traffic conditions.

If activity appears abnormal, automated, or abusive, we may rate-limit, block requests, require additional verification, or restrict Account access to protect the Site and Content library.

8. Acceptable Use of the Site

You agree to use the Site lawfully and in a way that does not disrupt the Site, attempt to exploit access rules, or harm other users.

You must not interfere with Site security or operations, scan for vulnerabilities, introduce malware, use bots or scripts to create Accounts, scrape pages, or mass-download files, or attempt to reverse engineer protected systems except where permitted by law.

9. Intellectual Property

The Site, branding, layout, and Content are owned by Highfile or licensed to Highfile and are protected by intellectual property laws. All rights not expressly granted are reserved.

You keep ownership of original work you create outside the Site. Downloading or editing Highfile Content does not transfer ownership of the underlying Content to you.

10. Feedback, Suggestions, and Comments

We may provide areas where users can submit feedback, suggestions, comments, or other input. If you submit any feedback or ideas, you agree we may use, reproduce, modify, and publish that feedback for Site improvement and business purposes without compensation, and without any obligation to keep it confidential.

You are responsible for what you submit. Do not submit content that infringes third-party rights, includes unlawful material, or includes sensitive personal data that you do not have permission to share.

The Site may include links to third-party sites or services. Highfile does not control those third parties and is not responsible for their content, policies, or practices. Your use of third-party services is at your own risk and may be governed by separate terms.

12. Disclaimers

Highfile Content and calculators are provided for general informational use. They are not legal, medical, tax, or financial advice. You are responsible for confirming that any document, calculation, or output fits your situation and local requirements.

The Site and Content are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, permanent availability of any specific Content, or error-free downloads.

13. Limitation of Liability

To the maximum extent permitted by law, Highfile is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.

To the maximum extent permitted by law, if Highfile is found liable for any claim, our total liability will not exceed the amount you paid to Highfile in the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Highfile from claims, liabilities, damages, and expenses arising from your use of the Site, your violation of these Terms, your violation of any law or third-party rights, or your redistribution of Content in violation of the license.

15. Suspension and Termination

Highfile may restrict, suspend, or terminate access to protect the Site, enforce these Terms, prevent abuse, or address suspected fraud.

If your Account is terminated due to a violation, your license to use Content may be revoked to the extent allowed by law, and you must stop using Content in a way that violates these Terms.

16. Changes to the Site or These Terms

Highfile may modify the Site, limit services, discontinue parts of the Site, or update these Terms. Changes take effect when posted unless stated otherwise. Continued use of the Site after updates means you accept the updated Terms.

18. Miscellaneous

If any provision is found unenforceable, the rest remains in effect. You may not assign your rights under these Terms without our written consent. We may assign our rights as part of a merger, acquisition, or asset sale.

These Terms, along with any policies referenced on the Site such as a Privacy Policy, form the entire agreement between you and Highfile regarding your use of the Site.
